STRIDE CRM TERMS AND SERVICES AGREEMENT

Effective Date: February 28, 2025

1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Stride CRM ("Stride," "we," "us," or "our"), a customer relationship management platform accessible at www.stridecrm.co (the "Platform"). These Terms of Service (the "Terms") form a legally binding agreement between you ("you," "your," or "yourself") and Stride CRM LLC, a Wyoming limited liability company. By using the Platform, you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy (available at www.stridecrm.co/privacy), and our Data Processing Addendum (DPA) if applicable. If you do not agree, do not use the Platform.

NOTICE: THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER IN SECTION 8, WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW CAREFULLY.



2. USER ELIGIBILITY AND ACCOUNT RESPONSIBILITIES


Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding contract. If you represent a business entity, you confirm that you have the authority to bind it to these Terms.

Account Registration & Security: You may be required to create an account to access certain features. You are responsible for ensuring that your account information is accurate and secure. You agree not to share your login credentials, and you will be liable for all activity under your account. If you suspect unauthorized use, notify us immediately at [email protected].

Account Termination: We reserve the right to suspend or terminate your account if we suspect fraudulent, abusive, or unlawful activity or violations of these Terms.



3. SUBSCRIPTION, BILLING, AND CANCELLATION


Subscription Plans: We offer paid plans as detailed on our website. We may modify plans at any time, but existing subscriptions remain unchanged until the end of the current billing cycle.

Payments & Auto-Renewal: Fees are billed in advance using your designated payment method. Subscriptions automatically renew unless canceled before the renewal date. You will receive 30 days’ notice before any price increases take effect.

Cancellation & Refunds: You may cancel at any time, but no refunds will be issued unless required by law or within the 14-day promotional period. If you cancel, access continues until the end of the current billing period.



4. INTELLECTUAL PROPERTY RIGHTS

Ownership: The Platform, its software, and all content (except user-submitted content) remain the sole property of Stride CRM LLC and its licensors.

License: You are granted a limited, non-exclusive, revocable license to use the Platform for your internal business operations only. You may not modify, distribute, sublicense, reverse engineer, or create derivative works from the Platform.

Restrictions: You may not (a) remove proprietary notices; (b) use the Platform for illegal purposes; or (c) exploit the Platform in a manner not permitted by these Terms.



5. PRIVACY POLICY AND DATA SECURITY


By using the Platform, you consent to our data practices as described in our Privacy Policy and Data Processing Addendum (DPA) (if applicable).

Security Measures: We implement commercially reasonable security measures to protect your data but do not guarantee absolute security. You are responsible for maintaining backups of your data.



6. PROHIBITED ACTIVITIES


You may not:

- Violate any laws or infringe on any rights.
- Upload, transmit, or distribute harmful, illegal, or deceptive content.
- Disrupt, interfere with, or compromise the security of the Platform.


We may suspend or terminate your account if we determine that you have engaged in prohibited activities.



7. DISCLAIMERS AND LIMITATION OF LIABILITY


NO WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW:

- WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

- OUR TOTAL LIABILITY TO YOU, FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, SHALL NOT EXCEED THE GREATER OF $500 OR THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRIOR TO THE CLAIM.

- YOU WAIVE ANY RIGHT TO CLAIM DAMAGES BEYOND THESE LIMITATIONS.

These limitations apply regardless of the legal theory (contract, tort, negligence, etc.), including gross negligence and service failures, unless prohibited by law.



8. DISPUTE RESOLUTION – MANDATORY ARBITRATION & CLASS ACTION WAIVER


Binding Arbitration: Any dispute, claim, or controversy arising from these Terms or your use of the Platform shall be resolved exclusively by final and binding arbitration, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

NO CLASS ACTIONS: YOU AGREE THAT ANY DISPUTE WILL BE INDIVIDUALLY ARBITRATED AND WAIVE ANY RIGHT TO A CLASS ACTION OR CLASS-WIDE PROCEEDING.

Governing Law: These Terms are governed by the laws of Wyoming, USA, without regard to conflict-of-law principles.

Jury Trial Waiver: If for any reason a claim proceeds in court, YOU AND STRIDE CRM KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL.



9. DATA PRIVACY & COMPLIANCE WITH GDPR/CCPA


If applicable, Stride CRM and users agree to comply with data protection laws (e.g., GDPR, CCPA).

Data Processing: If we process personal data on your behalf, we will:

- Only process data as instructed.
- Not sell or disclose data except as necessary for service delivery.
- Implement security measures to protect data.
- Assist you with privacy requests where required by law.



10. CHANGES TO TERMS AND TERMINATION


Modifications: We may update these Terms with 30 days’ notice before changes take effect. Continued use after the effective date constitutes acceptance of the changes.

Termination: We may suspend or terminate your access to the Platform for any reason, at our discretion, including policy violations or legal obligations. Upon termination, your rights under these Terms immediately cease.
